We provide comprehensive security solutions, including but not limited to, on-site security personnel, mobile patrols, security consulting, risk assessments, and alarm response services primarily within the state of Texas. All Services are provided by licensed and trained professionals in accordance with Texas state law and the regulations set by the Texas Department of Public Safety.

2. User Obligations and Conduct

You agree to use the Site and Services only for lawful purposes. You are prohibited from:

  • Using the Site or Services for any fraudulent or unlawful purpose.
  • Interfering with the security-related features of the Site or the operational integrity of our Services.
  • Transmitting any viruses, worms, defects, Trojan horses, or other items of a destructive nature.
  • Attempting to gain unauthorized access to any portion of the Site, or any systems or networks connected to the Site.
  • Providing false or misleading information to us in connection with our Services.

3. Intellectual Property

All content on the Site, including text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of the Company or its suppliers and protected by copyright and other laws. You agree not to copy, reproduce, distribute, or create derivative works from any content on the Site without our express written permission.

4. Disclaimers and Limitation of Liability

Our services are provided with professional skill and care. However, the nature of security services involves inherent risks.

TO THE FULLEST EXTENT PERMITTED BY LAW, SHADOW PROTECTIVE SERVICES, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ABSOLUTE PREVENTION OF LOSS, DAMAGE, OR CRIMINAL ACTIVITY.

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, OR OTHER INTANGIBLES, ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF YOUR USE OF THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

This section is not intended to contravene any provision of the Texas Deceptive Trade Practices-Consumer Protection Act (DTPA).

5. Indemnification

You agree to defend, indemnify, and hold harmless Shadow Protective Services, Inc., its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Site and Services; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

6. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration in Dallas County, Texas, in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs.

7. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of any changes by posting the new Terms of Service on this page and updating the "Last Updated" date. Your continued use of the Site after any changes constitutes your acceptance of the new Terms.
